Terms of Service
1. Research Use Only & Medical Disclaimer
The Services are provided for research and informational purposes only. The Services are not intended for clinical use, including but not limited to diagnosis, treatment, mitigation, or prevention of disease, or for making medical or healthcare decisions.
The Services are not a medical device and have not been reviewed or approved by the U.S. Food and Drug Administration (FDA) or any other regulatory authority.
2. No Warranty
The Services and all outputs are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of accuracy, completeness, reliability, fitness for a particular purpose, or non-infringement.
3. Limitation of Liability
To the maximum extent permitted by law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of data, loss of profits, or loss of business, arising out of or related to the use of the Services or any outputs generated by the Services.
The Company’s total cumulative liability shall not exceed the amount paid by the user to the Company for the Services during the twelve (12) months preceding the claim.
4. User Responsibility & Indemnification
Users are solely responsible for the interpretation, validation, and use of any outputs generated by the Services.
Users agree to indemnify and hold harmless the Company from any claims arising from their use of the Services, including downstream analyses, publications, regulatory submissions, or commercial applications.
5. IP Ownership & Licensing
User Data Ownership
Users retain all rights, title, and interest in the data they upload to the Services.
Output Ownership
Subject to compliance with these Terms, users own the outputs generated from their uploaded data.
Platform IP
The Company retains all right, title, and interest in and to the proprietary components of the Service, including without limitation the AI agent, orchestration logic, workflow definitions, prompts, system architecture, user interfaces, APIs, and all related documentation (“Company Software”).
All third-party software, tools, libraries, and frameworks invoked, distributed, or made available through the Service (including but not limited to Bowtie2, STAR, samtools, bcftools, featureCounts, seqtk, and open-source dependencies) are owned by their respective licensors and are subject to their own license terms.
No Third-Party License Grant
Nothing in this Agreement grants You any rights in or to third-party software beyond those rights provided under the applicable third-party license terms.Software License
Certain features of the Service include access to software, container images, command-line tools, APIs, or AI agents (“Software”). Use of the Software is governed by the End User License Agreement (“EULA”), which is incorporated herein by REFERENCE. By using the Software, you agree to be bound by the EULA.
