End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and DeConvo Genetics LLC (“Company” or “Provider”) governing your use of the software, AI agents, workflows, orchestration logic, container images, services, and related documentation provided by Company (collectively, the “Software”).
By accessing or using the Software, you agree to be bound by this Agreement.
1. License Grant
Subject to the terms of this Agreement, Company grants User a non-exclusive, non-transferable, revocable license to use the Software for internal research, commercial, analytical, and operational purposes.
No ownership rights are transferred under this Agreement.
2. Permitted Use
User may:
Execute the Software in Provider-managed or User-managed infrastructure
Deploy and run containerized workflows and pipelines
Generate, analyze, and export output data and results
Use the Software for commercial purposes
3. Restrictions
User may not:
Reverse engineer, decompile, or disassemble proprietary components of the Software
Redistribute, sublicense, sell, or resell the Software or container images without written authorization
Remove or alter copyright, attribution, or license notices
Use the Software for unlawful purposes
4. Ownership
Company retains all right, title, and interest in and to the proprietary components of the Software, including but not limited to:
AI agents and orchestration logic
Workflow definitions and pipelines
Prompts, configurations, and system architecture
APIs, user interfaces, and documentation
No rights are granted except as expressly stated in this Agreement.
5. Third-Party Software
The Software includes and/or orchestrates execution of third-party open-source software, which may include, but is not limited to:
Amazon Linux 2023, Ubuntu Linux
Python, R, Bioconductor, CRAN packages
Bowtie2, STAR (including STARsolo)
Samtools, BCFtools, HTSlib
Subread / featureCounts (GPL-3.0)
seqtk
pandas
AWS SDK for Python (boto3), AWS CLI
GNU build tools and libraries
All third-party software is used unmodified, is owned by its respective licensors, and is governed by its original license terms as disclosed in THIRD_PARTY_LICENSES.md.
Company does not claim ownership of third-party software and does not relicense it.
6. Open-Source License Priority
In the event of a conflict between this Agreement and an applicable open-source license, the open-source license shall govern with respect to the relevant third-party component.
Nothing in this Agreement limits User’s rights under applicable open-source licenses.
7. Deployment Models
The Software may be deployed via:
Provider-hosted SaaS environments
User-controlled cloud accounts
Containerized execution environments (including AWS Batch, Kubernetes, or equivalent systems)
Deployment method does not alter licensing obligations, data ownership, or responsibility for execution costs.
8. Data Ownership and Responsibility
User retains all right, title, and interest in:
Input data
Output data
Results generated by the Software
Company does not claim ownership of User data and does not access, retain, or reuse User data except as necessary to execute requested workflows, unless otherwise agreed in writing.
User is solely responsible for compliance with applicable data privacy, security, and regulatory requirements.
9. No Warranty
THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION
COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY USER FOR THE SOFTWARE, IF ANY.
11. Termination
This Agreement terminates automatically upon User’s violation of its terms.
Upon termination, User must cease all use of the Software.
Sections relating to ownership, third-party software, disclaimers, limitation of liability, and governing law shall survive termination.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict-of-law principles.
